Our Terms & Conditions

1. Introduction

1.1 These Terms and Conditions ("Terms") govern the provision of content creation services ("Services") by Luminustra ("we," "us," or "our") to you, the client ("you" or "your").

1.2 By engaging our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

1.3 If you are a consumer, nothing in these Terms affects your statutory rights under applicable consumer protection laws.

2. Services

2.1 We agree to provide you with high-quality LinkedIn posts, articles, blog posts ("Content") as per your instructions and within the agreed-upon timeframe.

2.2 You are responsible for:

  • Providing us with all necessary information and instructions for the Content, including:

    • Subject topic

    • Desired tone and style

    • All other information requested in the forms

  • Reviewing the draft Content prior to publishing

  • Posting the final Content on your platform


2.3 Digital Content and Services: Where our Services include digital content or digital services, we comply with the Consumer Rights Act 2015 and the EU Digital Content Directive (where applicable).

3. Intellectual Property

3.1 Upon full payment for the Services, you will be granted a non-exclusive, non-transferable license to use the Content for your own business purposes within the territories of the UK and EEA.

3.2 We retain all intellectual property rights in the Content, including copyright and moral rights, unless otherwise expressly agreed in writing.

3.3 You may not:

  • Resell or distribute the Content to third parties

  • Claim ownership of the Content

  • Use the Content in any way that may damage our reputation

  • Modify the Content in a way that prejudices our moral rights


3.4 User-Generated Content: Where you provide us with any materials or content ("User Content"):

  • You warrant that you own or have the right to use such User Content

  • You grant us a worldwide, royalty-free license to use the User Content for the purpose of providing the Services

  • You will indemnify us against any claims arising from the use of User Content


4. Confidentiality

4.1 Both parties agree to maintain the confidentiality of all information disclosed during the course of the engagement, except for information that:

  • Is already publicly known or becomes publicly known through no fault of the receiving party

  • Is independently developed by the receiving party without the use of any confidential information of the disclosing party

  • Is lawfully required to be disclosed by law or court order


5. Data Protection

5.1 We will collect and process your personal data in accordance with:

  • The UK General Data Protection Regulation

  • The EU General Data Protection Regulation (where applicable)

  • The UK Data Protection Act 2018

  • Any other applicable data protection legislation


5.2 We will only collect and use your personal data for the purposes of providing the Services to you, such as:

  • Contact information (name, email address, phone number)

  • Subject information for the Content


5.3 Your Data Protection Rights: You have the right to:

  • Access your personal data

  • Rectify inaccurate personal data

  • Erase your personal data ("right to be forgotten")

  • Restrict processing of your personal data

  • Data portability

  • Object to processing

  • Withdraw consent at any time

7. Liability

7.2 Subject to clause 7.1, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

7.3 Our total liability for any direct damages shall be limited to the total amount paid by you for the specific services giving rise to the claim.

8. Consumer Rights

8.1 If you are a consumer:

  • You have a cooling-off period of 14 days from contract formation

  • You must expressly consent to immediate performance of digital content delivery

  • You have the right to cancel within the cooling-off period unless you have expressly waived this right


9. Termination

9.1 These Terms may be terminated:

  • Immediately by us if you breach any material term

  • By you in accordance with your consumer rights


9.2 Upon termination:

  • All outstanding payments become immediately due

  • You must cease using our Services

  • Confidentiality obligations survive termination


10. Force Majeure

10.1 Neither party shall be liable for any delay or failure to perform due to Force Majeure Events, including:

  • Natural disasters

  • War, terrorism, civil unrest

  • Pandemics or epidemics

  • Government restrictions

  • Industrial action


11. Dispute Resolution

11.1 EU Consumers: You have the right to submit complaints through the EU Online Dispute Resolution (ODR) platform at http://ec.europa.eu/odr.

11.2 UK Consumers: You may refer disputes to an approved ADR provider under the Alternative Dispute Resolution for Consumer Disputes Regulations 2015.

11.3 Resolution Process:

  • Negotiation: Parties shall negotiate in good faith for 30 days

  • Mediation: If negotiation fails, parties shall attempt mediation within 60 days

  • Legal Proceedings: If mediation fails, either party may commence legal proceedings


12. Payment and Subscription Terms

12.1 Subscription Model

  • All Services are provided on a subscription basis only

  • Subscription periods are [monthly/annual/specify period]

  • Subscriptions automatically renew unless cancelled in accordance with these Terms

 

12.2 Subscription Fees

  • For commercial customers: Late payments shall incur interest at 8% above the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998

  • For consumer customers: Late payments shall incur interest at 2% above the Bank of England base rate

 

12.6 Subscription Cancellation

  • You may cancel your subscription at any time through [specify method]

  • Cancellation will take effect at the end of your current billing period

  • No refunds will be provided for partial subscription periods unless required by law

  • For EU/UK consumers:

    • You have a 14-day cooling-off period for new subscriptions

    • Cancelling the Services during the cooling-off period, you must pay for Services used until cancellation

 

12.7 Subscription Tiers and Changes

  • Different subscription tiers may offer different levels of Service

  • You may upgrade or downgrade your subscription tier at any time

  • Upgrades will take effect immediately

  • Downgrades will take effect at the start of the next billing period

  • Pro-rata adjustments will be made for upgrades

 

12.8 Free Trials

  • We may offer free trial periods for our Services

  • Trial periods automatically convert to paid subscriptions unless cancelled before the trial ends

  • You will be notified before your trial ends

  • Only one trial period per customer is permitted unless explicitly authorized

 

12.9 Currency and Exchange Rates

  • All prices are in GBP

  • For international customers:

    • Payments will be processed in GBP

    • Your payment provider's exchange rates and fees may apply

    • We are not responsible for any foreign exchange fees or charges

 

12.10 Tax

  • Subscription fees are inclusive of applicable taxes

  • We will add applicable taxes to your subscription fee where required by law

  • You are responsible for any taxes that you are legally required to pay

 

12.11 Business Accounts

  • For business subscriptions with multiple users:

    • The business entity is responsible for all payments

    • Changes to user numbers will affect billing in the next cycle

    • Volume discounts may apply as per our current pricing policy

 

12.12 Subscription Suspension

  • We may suspend your subscription if:

    • Payment fails and is not rectified within [X] days

    • You breach any terms of service

    • We reasonably suspect fraudulent activity

  • During suspension:

    • Access to Services will be restricted

    • Payment obligations continue to apply

    • Subscription period continues to run

 

13. Luminustra Engage Subscription License

 

13.1 License Grant

  • During your active subscription to Luminustra Engage, we grant you a limited, non-exclusive, non-transferable license to publish and use the content provided by our automated copywriting service ("Engage Content") for your business or personal purposes.

  • Each piece of Engage Content may be published once across multiple platforms simultaneously (including various social media platforms, blogs, and websites) as a single publishing event, but may not be repeatedly republished or reused for different campaigns or purposes.

 

 

13.2 Active Subscription Rights

  • While your subscription remains active and in good standing, you may:

    • Publish Engage Content across various platforms, including commercial platforms

    • Incorporate Engage Content into your websites, blogs, social media, and marketing materials

    • Edit or modify Engage Content to suit your specific needs

 

13.3 Post-Subscription Restrictions

  • Upon cancellation, expiration, or termination of your subscription for any reason:

    • You are expressly prohibited from publishing any new or previously unpublished Engage Content

    • You must cease all use of unpublished Engage Content immediately

    • You may not use any Engage Content in new posts, publications, or materials

    • Engage Content that was published during your active subscription period may remain published, but cannot be republished or repurposed

 

13.4 Content Ownership

  • Luminustra retains all intellectual property rights in all Engage Content, regardless of whether you have modified it

  • Your license to use Engage Content is conditional upon maintaining an active subscription and complying with these Terms

 

13.5 Additional Prohibited Uses

  • In addition to the restrictions in Section 3 (Intellectual Property), you may not:

    • Use Engage Content in on-demand, made-to-order, or customizable applications

    • Use Engage Content as merchandise where the primary value is the content itself

    • Extract or separate Engage Content incorporated into end products

    • Claim any trademark or service mark rights for Engage Content

 

13.6 Audit Rights

  • We reserve the right to audit your use of Engage Content to ensure compliance with these Terms

  • You agree to cooperate with any reasonable audit request and provide evidence of compliance upon request

 

13.7 Termination of License

  • We reserve the right to terminate your license to use any Engage Content if you violate these Terms

  • Upon termination of your license, you must immediately cease all use of the applicable Engage Content and delete all copies in your possession



14. Electronic Communications and Signatures

14.1 You consent to receive communications from us electronically.

14.2 Electronic signatures shall be as valid as handwritten signatures, in accordance with the Electronic Communications Act 2000 and the eIDAS Regulation.

15. Governing Law and Jurisdiction

15.1 These Terms shall be governed by and construed in accordance with the laws of England and Wales.

15.2 For consumers:

  • If you live in Scotland, you can bring legal proceedings in either the Scottish or English courts

  • If you live in Northern Ireland, you can bring legal proceedings in either the Northern Irish or English courts

  • If you live in the EU, you may benefit from any mandatory provisions of the law of the country where you live


16. Severability

16.1 If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16. Amendments

17.1 We may amend these Terms from time to time by posting the revised Terms on our website.

17.2 For material changes:

  • We will provide at least 30 days' notice

  • You have the right to reject changes by terminating the Services

  • Your continued use constitutes acceptance
